Job Description
Join the M&A legal team of an international group as a key legal advisor on complex cross-border transactions. You'll manage legal aspects of M&A deals from structuring to closing, coordinate with external advisors and internal teams, support capital markets projects, brief top management, and oversee legal risk and compliance across global operations.
* Act as the single point of contact (SPOC) for legal matters in international M&A transactions (acquisitions, mergers, JVs, restructurings, divestitures, spin-offs).
* Manage legal work across all stages of the M&A process, including structuring, due diligence, documentation, negotiations, and regulatory filings.
* Provide legal support for capital markets projects, including capital increases, dividend distributions, debt issuances, and intra-group financing.
* Coordinate and steer external legal advisors (law firms, banks) throughout transactions.
* Prepare legal input for governance documents, offer letters, and board briefings.
* Provide clear, high-quality legal advice to top management and the Executive Committee.
* Support ongoing legal management of joint ventures.
* Identify and manage legal and compliance risks in transactions.
* Collaborate cross-functionally with internal teams and subsidiaries across regions.
The Successful Applicant
You hold a Belgian Master in Law with strong academic results and have at least 6 years of transactional experience in corporate M&A, either in a top-tier international law firm or in-house. You bring solid M&A and capital markets expertise, strong legal analysis, and the ability to deliver clear, business-focused advice. You are a proactive, pragmatic team player with excellent coordination and communication skills, full professional proficiency in English, and eagerness to work in diverse cultural settings and learn about insurance M&A, including in emerging markets.
