The Role of the Head of Legal and Compliance is a senior position that requires strong leadership and expertise in legal and compliance matters.
Key Responsibilities
* Lead and develop a team of legal professionals to provide effective legal coverage for Belgium, Luxembourg, the Netherlands, and Ireland.
* Ensure representation of Legal and Compliance at leadership meetings for all in-scope Affiliates and provide strategic input to corporate leadership.
* Represent the voice of Belgium, Luxembourg, the Netherlands, and Ireland at the European and/or Global Legal and Compliance level.
Core Activities Include:
1. Identify and close gaps in the Compliance Program, including suggesting program improvements and new measures to direct superiors and General Management of the organizations.
2. Design, implement, and review policies and procedures designed to prevent and detect conduct inconsistent with applicable requirements and the companies' policies.
3. Support the management and implementation of procedures and systems relating to Transfer of Value (ToV), including data collection and reporting.
4. Drive education and awareness on compliance and related legal matters within the organizations, including design and execution of Compliance Training Programs for employees as well as the Compliance Communication Program to prevent illegal, unethical, or improper conduct.
5. Direct all legal and compliance concerns and potential violations of policies, procedures, and other elements of the Compliance Program to direct superiors, assist with necessary investigations/audits/inspections, and ensure corrective actions are undertaken where appropriate.
6. Oversee contractual law matters, including drafting, reviewing, and negotiating purchasing, consulting, and other service provider contracts.
7. Provide circumstantiated legal advice to General Managers and other senior management department heads on a broad range of legal matters.
8. Ensure corporate housekeeping and other legal tasks.
9. Work closely with European Legal and Compliance to ensure implementation and adherence to Regional and Global legal and compliance/ethics initiatives at the local level and lead/support Regional legal and compliance/ethics projects.
10. Review and analyze legislation and regulations affecting the organizations and perform an oversight of compliance with the applicable legislation and regulations.
11. Advise on and assist with dispute resolutions and other legal matters, where necessary in consultation with external counsel.
12. Prepare and provide relevant reports to DSE, such as the Quarterly Legal Report and biannual Non-Compete Obligation List.
13. Prepare a plan and execute Compliance Monitoring activities pre-approved by direct superiors and Senior Management of the organizations, determine responsibilities/accountabilities, and propose corrective actions where necessary.
14. Assist on data protection-related matters in consultation with DSE Legal/DPO.
