Job Purpose and Impact
The person filling this position will provide legal counsel to Cargill, Incorporated and its global subsidiaries as an in-house lawyer in Cargill’s global Law Department, supporting merger, acquisition, divestiture, venture capital, and joint venture (MADJV) transactions, primarily throughout Europe, Middle East, and Africa (EMEA). This position will be a member of the MADJV Global Practice Group, focusing mainly on MADJV (including related commercial counseling in MADJV transactions) for the EMEA region.
This position is recognized as a superior resource with deep understanding of MADJV law across the legal function and corporation, handling complex legal work such as leading due diligence teams, drafting and negotiating transaction agreements, and supervising closings. The role requires superior judgment, the ability to recognize business implications, develop solutions, and counsel clients accordingly. It demands limited supervision, with a focus on prioritization, flexibility, and agility in managing legal work and department projects.
On large and/or cross-border MADJV transactions, the lawyer will work as part of a core MADJV law team, including a lead MADJV lawyer and specialists. For smaller transactions, the lawyer may lead MADJV teams and oversee legal areas, mentoring other lawyers supporting MADJV transactions. Principal responsibilities include:
Key Accountabilities
* Lead preparation, review, and revisions of transaction documents such as MoUs, Asset Purchase Agreements, Stock Purchase Agreements, Shareholders’ Agreements, and related ancillary documents.
* Coordinate stakeholder input, participate in negotiations, and ensure process discipline and consistency.
* Supervise legal due diligence, including scope definition, evaluation, report preparation, and interactions with insurers and internal teams.
* Manage transaction signings and closings.
* Optimize the use of outside counsel.
* Communicate effectively with MADJV lawyers, transaction teams, clients, and opposing counsel.
* Coordinate antitrust and merger clearance communications.
* Contribute to global MADJV knowledge management and best practices.
* Perform other duties as assigned.
Qualifications
Minimum Qualifications
* Law degree and active practicing attorney status with at least 4 years of experience in handling MADJV transactions of varying sizes and complexities.
* Cross-border M&A experience is required.
* Excellent English communication skills (written and verbal).
Preferred Qualifications
* Four to six years of MADJV practice at a Magic Circle or equivalent firm.
* Experience in agriculture, food, and commodities sectors.
* Experience with private equity and strategic buyers/sellers.
* Fluency in at least one additional language.
* Experience in merger analysis and regulatory filings.
* Commitment to community service and pro bono work.
* Ability to travel within EMEA and globally, often with short notice.
* Strong communication, advocacy, writing, and drafting skills.
* Experience in structuring, executing MADJV transactions, managing due diligence, drafting documents, and handling closings.
* Ability to assess transaction risks and advise practically and solutions-oriented.
