Job Opportunity: M&A Lawyer at Proximus
Proximus is seeking a skilled and experienced M&A Lawyer to join our Legal department. As a key team member, you will advise and support the M&A department on mergers, acquisitions, divestitures, joint ventures, and other strategic transactions.
Roles and Responsibilities:
1. Provide pragmatic legal support in Corporate Law and M&A, including due diligence, negotiation, structuring, and documentation.
2. Collaborate with finance, tax, compliance, and business development teams to evaluate transactions and ensure alignment with business goals.
3. Analyse legal risks and develop strategies to mitigate them while achieving desired outcomes.
4. Draft, review, and negotiate transaction agreements such as purchase agreements, shareholder agreements, and joint venture agreements.
5. Ensure compliance with applicable laws, regulations, and corporate governance standards.
6. Coordinate with external legal counsel, financial advisors, and other professionals to facilitate smooth transactions.
7. Advise senior management on M&A strategies, transaction structures, and negotiations.
8. Stay informed about industry trends and legal developments related to M&A, advising the organization proactively.
9. Manage your files independently under the supervision of the Legal Manager of the Enterprise Division.
Your Profile:
1. Master's degree in Law.
2. At least 7 years' experience in Corporate Law and M&A, as a lawyer, in-house counsel, or similar role.
3. Strong analytical and synthesis skills to solve complex legal issues.
4. Convincing, collaborative, and results-oriented approach.
5. Flexible, open-minded, pragmatic, and able to reconcile legal and business interests.
6. Integrity in presenting legal analyses.
7. Proficiency in French, Dutch, and English, both written and spoken.
