As an active shareholder, we support our portfolio companies in achieving sustainable growth, backed by a hands‑on and operational central team. /p pFrom our headquarters in Kontich, we are driven by excellence, a passion for growth, and the ambition to create lasting value. /p h3Your Role /h3 pAs a Legal Counsel (Corporate MA), you will play a key role in supporting the legal and transactional activities of Companions and its portfolio companies. /p pThis role is designed as a growth trajectory: /p ul liFrom day one, you will build a strong foundation through hands‑on involvement in collaborative MA work, supporting ongoing transactions, as well as legal operations, compliance and corporate housekeeping. /li liFrom there, you will progressively evolve towards greater involvement and ownership in MA transactions, structuring and strategic legal work, working closely with the Head of Legal. /li /ul h3Your responsibilities include: /h3 h3Compliance Foundation Building /h3 ul liSupporting compliance processes including KYC, AML, GDPR and internal policies. /li liSupporting GDPR compliance, including maintaining records of processing activities and assisting with data‑related requests. /li liAssisting with regulatory filings and obligations (e.g. UBO, governance updates). /li liContributing to the professionalisation and automation of legal workflows. /li /ul h3Corporate Transactional Support /h3 ul liSupporting MA transactions, including due diligence, document review and transaction execution. /li liAssisting in drafting and reviewing transaction documentation (NDAs, SPAs, shareholder agreements, etc.). /li liCoordinating closing processes and working with external advisors (law firms, notaries, tax advisors). /liliSupporting corporate restructurings and strategic projects within the group. /li /ul h3Legal Operations Governance /h3 ul liManaging corporate housekeeping for Companions and its portfolio companies (boards, resolutions, mandates, filings). /li liDrafting and reviewing a broad range of legal documents and agreements. /li liActing as a central point of contact between internal teams and external stakeholders. /li liEnsuring proper documentation and follow‑up across entities (e.g. via Corporify / SharePoint). /li /ul h3Your Profile /h3 ul liMaster’s degree in Law. /li li3 to 5 years of experience in corporate law, MA and/or commercial law (law firm or in‑house). /li liStrong interest in transactions and deal‑making, combined with willingness to build a solid operational foundation. /li liExcellent command of Dutch and English.
