We foster a culture that supports diversity, inclusion and career growth, ensuring that every team member has the opportunity to thrive and succeed /ppbYour mission /b /ppAs Corporate Legal Counsel, you will be part of the Corporate Legal team and contribute to ensuring high-quality legal support across the group, combining technical legal expertise with a pragmatic business-oriented approach. /ppYou will work closely with the Head of Corporate Legal and Corporate Secretary Office, legal counsels, and key stakeholders (Finance, Tax, IR, …), while developing increasing ownership over files and projects. /ph3Key Responsibilities /h3 ul libCorporate governance company secretary support /b /li /ul ul liAdvise on Belgian European corporate law and governance matters /li liSupport the preparation of Board of Directors, Board Committees and Shareholders’ Meetings (legal review of documentation, resolutions, governance compliance). /li liReview and draft minutes, resolutions and governance documentation. /li liContribute to the implementation and evolution of corporate governance frameworks (policies, charters, internal rules). /li liEnsure legal consistency and robustness of governance documentation prepared by the team. /li /ul h3Listed company compliance regulatory matters /h3 ul liSupport compliance with listed company obligations, including: /li liMarket Abuse Regulation (MAR), /li litransparency and disclosure requirements, /li ligovernance reporting. /li liAdvise internal stakeholders on inside information handling, confidentiality, and disclosure obligations. /li liContribute to the drafting and updating of internal policies (e.g. dealing code, corporate governance charter). /li liMonitor legal and regulatory developments and assess their impact on the company. /li /ul h3Subsidiaries governance corporate housekeeping (legal oversight) /h3 ul liSupervise and provide legal guidance on over 80 subsidiaries corporate housekeeping across the world. /li liReview complex corporate operations (e.g. capital increases, restructurings, changes in governance). /li liEnsure legal consistency across jurisdictions and alignment with group standards. /li liSupport structuring decisions and intra-group reorganizations. /li /ul h3Corporate transactions strategic projects /h3 ul liSupport and progressively lead workstreams on: /li liDraft and review transaction documentation (NDAs, SPAs, shareholders’ agreements, etc.). /li liParticipate in due diligence processes and coordination with external counsel. /li liProvide legal input on strategic business initiatives. /li /ul h3Legal advisory business partnering /h3 ul liAct as a legal business partner for internal stakeholders (finance, strategy, HR, compliance). /li liProvide clear, pragmatic and risk-based legal advice. /li liContribute to building legal awareness within the organization (guidance, trainings). /li /ul h3External stakeholders coordination /h3 ul liLiaise with external law firms, notaries, auditors and regulatory authorities (FSMA, Euronext, Audit Court,…). /li liEnsure quality control of external advice and alignment with internal strategy. /li /ul h3Who are you? /h3 ul liMaster’s degree in Law (Belgium). /li li2–5 years of experience in corporate law, preferably in a law firm or in-house in a listed or international environment. /li liStrong legal drafting and analytical skills. /li liAbility to translate complex legal issues into practical advice. /li liCapacity to manage several topics simultaneously with good prioritization. /li liHigh level of rigor and attention to detail. /li liProactive mindset and willingness to take ownership. /li liStrong interpersonal skills and ability to interact with senior stakeholders. /li liFluent in English.
