To support its ambitions and current growth, Lotus Bakeries is looking for a Legal Manager Corporate and Governance to strengthen its legal team in Lembeke (HQ).
What will you do?
As our client’s Legal Manager Corporate & Governance, you are responsible for the strategic corporate governance and legal compliance framework of the company as a publicly listed entity in Belgium. As a key legal advisor, reporting into the Group Legal & Public Affairs Director, you also support executive management and corporate functions by delivering high-level legal expertise.
As a Legal Manager Corporate and Governance at Lotus Bakeries, your role will include:
* You ensure full compliance with the legal and regulatory obligations of a publicly listed Belgian company, including applicable EU and Belgian corporate laws, the Belgian Corporate Governance Code, FSMA regulations and Euronext requirements.
* You oversee the corporate governance declaration with the annual report and other public disclosures.
* You organize and manage shareholder and board meetings of the Group entities, ensuring all decisions are documented and implemented.
* You act as gatekeeper against market abuse & insider trading, keeping our Dealing Code alive, maintaining accurate and compliant insider lists, and ensuring disclosure obligations and transparency filings.
* You monitor legal and regulatory developments affected listed entities, proactively adjust internal governance practices and provide legal advice on M&A transactions, corporate restructurings and the creation or dissolution of legal entities.
* You act as legal advisor to Corporate Departments in Belgium, including Finance, Tax, HR, ESG, ICT, …
* You conduct bi-annual meetings with the Corporate Directors to align legal support with business strategy and provide forward-looking legal insights while also cooperating with the Compliance Manager in identyfing local comliance needs and monitoring opportunities for improvement.
* You lead or contribute to regional and global legal initiatives and continuous improvement projects and foster a strong partnership with cross-functional teams, contributing to a culture of integrity, accountability and operational excellence.
What does the ideal candidate look like?
To be able to achieve the above and be successful in this role we believe you need to have:
* A strong academic background with a Master’s degree in law, preferably with a specialization in Corporate Law.
* 6 to 10 (or more) years of proven experience with Belgian corporate law and governance, including listed company requirements, FSMA regulations, MAR, Euronext rules and disclosure requirements as well as restructurings and corporate housekeeping.
* Knowledge of Shareholder rights, director duties, corporate responsibility and contract law (including cross-border transactions).
* Strong familiarity with legal knowhow management systems and best practices for maintaining and disseminating legal updates.
* The capability of comfortably operating autonomously while coordinating with a global legal team or matrixed organization structure.
* Ideally, a good understanding of FMCG business operations, market dynamics and regulatory environments.
