JOB PURPOSE
The Senior M&A Counsel will support Hexagon's global growth by providing expert advice on cross-border M&A, securities regulation, and public company governance. As a strategic advisor to the General Counsel, this role ensures Hexagon's transactional activities align with its mission to harness data and autonomous technologies to drive sustainable productivity across industries. With more than 200 acquisitions completed over the past 15 years, M&A is central to Hexagon's strategy. This is a unique role for an ambitious and talented lawyer looking for a global role in a leading technology company.
MAIN DUTIES
1. Strategic Legal Advisory
* Serve as trusted advisor to the General Counsel, contributing to legal strategy and major corporate initiatives.
* Provide expert counsel on complex, multi-jurisdictional legal issues impacting a global, high-growth technology environment.
2. Mergers & Acquisitions Leadership
* Act as lead M&A counsel for all corporate transactions.
* Manage external counsel, oversee due diligence, direct deal structuring, and prepare/advise on antitrust and foreign direct investment (FDI) filings.
* Drive execution through closing and post-closing integration phases.
3. Securities Law & Public Company Governance
* Advise on securities laws and public company reporting matters, with particular focus on EU disclosure and listing requirements (including MAR compliance).
* Oversee preparation and review of filings, disclosures, and corporate governance materials.
4. Executive Compensation & Corporate Governance Support
* Draft, negotiate, and advise on executive employment arrangements and equity compensation plans.
* Partner with HR, compensation committees, and external advisors as needed.
5. Cross-Functional Business Partnership
* Work closely with tax, finance, investor relations, HR, and corporate strategy teams to align legal strategy with corporate objectives.
* Provide practical, business-oriented guidance under tight timelines.
6. Team Leadership & Development
* Manage, mentor, and support select members of the corporate legal team.
* Foster a culture of excellence, accountability, and cross-functional collaboration.

JOBHOLDER REQUIREMENTS
* Law degree with honors, with an additional US or UK LL.M. preferred.
* 8–10 years of combined top-tier law firm and in-house experience, ideally within a publicly traded multinational.
* Deep expertise in global M&A, including due diligence, structuring, negotiations, and regulatory filings.
* Strong knowledge of EU securities laws, including the Market Abuse Regulation (MAR).
* Experience with executive and equity compensation matters preferred.
* Exceptional analytical, drafting, and problem-solving capabilities.
* Demonstrated ability to act as a strategic advisor to senior executives.
* A curious, analytical, and self-driven mindset with a passion for technology and innovation.
* Experience within the technology, software, industrial automation, or high-growth innovation sectors preferred.
* Strong leadership and relationship-building capabilities.
