Job Description
Eurofins’ Corporate Development team drives the execution of the Group’s strategic business and financial ambitions through targeted merger and acquisition activity across all business lines. Inorganic growth is a core pillar of Eurofins’ long-term strategy.
This role offers the opportunity to join a high-performing, deal-driven team in a fast-paced environment, covering the Benelux region and based in Brussels, with direct exposure to strategic decision-making and transaction execution.
As an M&A Associate, you will have the opportunity to drive deals autonomously from origination to closing.
Position & Objectives
Coordination of M&A Pipeline:
Market Analysis, Origination and Prospection: you will proactively identify, assess, and engage with potential future Eurofins partners across the Benelux market.
Confidentiality and Preliminary Data Analysis: you will prepare and manage confidentiality agreements and collect, review, and analyze preliminary information including audited accounts, shareholding structures, and management profiles.
Target Evaluation and Deal Structure Recommendation: you will assess acquisition targets based on business fundamentals, financial performance, and growth outlook, and recommend appropriate transaction structures.
Transaction Advisory and Negotiation Support: you will advise on transaction strategy and execution, interface with target companies, shareholders, and advisors, and support business leaders in preparing key negotiation materials such as term sheets, heads of agreement, indicative offers, and exclusivity agreements.
Due Diligence Coordination: you will lead the coordination of due diligence processes, working closely with internal stakeholders and external advisors (e.g., legal counsel, auditors).
Negotiation and Documentation Review: you will drive negotiations, participate in meetings, and review and comment on transaction documentation through signing and closing.
Deal Closing Coordination: you will coordinate all closing activities, including financial settlements and final execution steps.
Peer Reviews and Support: you will conduct peer reviews and provide support on similar M&A initiatives across other business lines or geographies as needed.
Integration of Acquired Companies:
Reporting and Communication Setup: you will support the establishment of reporting structures and communication channels between newly acquired companies and Eurofins’ general management.
Post-Closing Obligations Management: you will monitor and follow up on post-closing obligations such as earn-outs or deferred consideration.
Shareholder Resolutions and Performance Monitoring: you will prepare shareholder resolutions and track annual accounts and post-acquisition performance.
Qualifications
Educational Background: Master's degree in Business Administration, Finance, or Engineering from a top university.
Experience:
4 to 7 years in M&A, Corporate Development, Investment Banking, Private Equity, Transaction Services—or related Services (Big Four)—or Consulting.
Solid understanding of the M&A process, including NDA, LOI, DD, SPA, PMI, etc.
Skills:
Excellent interpersonal, communication, and team leadership skills.
Outstanding technical and conceptual understanding of finance and valuations.
Large autonomy
Language Proficiency: Fluency in Dutch (native speaker level) and English.
