Furthermore, the company has a very strong presence in West Africa. /ppOur client is looking for a qualified Legal Counsel (m/f) for the Belgium head quarters, situated in Oostende, to deal with the legal aspects of NHV’s business in Europe and Africa, with focus on legal support to group corporate departments and business units. /ppBeing part of the Legal team at holding level and reporting directly to the general legal counsel, you will: /pulliwork closely together with management, the general counsel, the paralegal and different business units, /liliassist in setting up and maintaining a corporate social responsibility culture within the Group /lilias a key member of the Legal Team, be in contact with other group corporate functions (in particular finance, HR, tax, project management office, GM’s) delivering legal advice, information, documentation and analysis on corporate financial matters /lilibe responsible for the corporate governance and corporate housekeeping of all 20 legal entities with the Group, with the assistance of a paralegal /liliassist in setting up the international legal structure that adequately supports the business strategy of the Group /liliassist in corporate transactions, in collaboration with the general counsel /li /ulpOccasional travel to other sites is required. /ppbResponsibilities main result areas: /b /pulliEnsure that the corporate housekeeping of entities in Belgium, UK, Netherlands, Ghana, Ivory Coast, Norway, Denmark is complete and up-to-date /liliKeep records of corporate decisions, and improve/maintain a procedure for documenting corporate decisions /liliContribute to the drafting of corporate documentation (minutes of meeting, resolutions) /liliMap and follow up on local legal formalities /liliMonitor and prepare legal documentation to formalize intragroup structures (e.g. financing agreement, service agreements, lease agreements end hire out agreements) /li /ulpb2. Corporate social responsibility: /b /pulliContribute to the drafting of corporate governance rules, authorization rules and administrative guidelines /liliEnsure compliance with existing rules, regulations and applicable legal basis /liliActively educate organization on corporate social responsibility /liliRender advice on envisaged corporate and financial transactions (joint ventures, mergers and acquisitions, corporate financing, hedging etc.) /liliFollow up due diligence operations in corporate or financial transactions /li /ulpb4. Litigation: /b /pulliFollow up on pending claims and litigations and liaise with outside counsels /liliProvide annual litigation report to the legal manager/executive committee /li /ulpb5. General advice on legal matters: /b /pulliProvide legal advice, guidance, information and analysis to internal clients /liliPrepare and review legal documents and examine documents for legal sufficiency /liliPerform specific legal researches to support the legal manager /liliFollow up on outside counsel expenses and manage external expenses in accordance with legal budget /li /ulh3Profile /h3ulliYou have a Master degree in law /liliYou have minimum 8 years’ experience in corporate law, in an international business law firm and/or as in-house lawyer in an international company /liliYou have clear and effective communication skills with natural charisma and authority /liliYou have strong coordination, negotiation and persuasive skills, with an eye for details without loosing the helicopter view /liliYou are able to work independently and autonomously with a problem solving approach /liliYou have excellent (verbal and written) communication skills and you are a real team player /liliYou are passionate about legal matters and at the same time business oriented /liliYou are excellent Dutch and English.
