THE SCOPE: With 30 years of history, Gaming1 is a leader in land-based and online games of chance (casino games, sports betting and poker). Gaming1 is looking for a Legal Counsel to support the Corporate & HR Legal Support team, with a focus on Corporate law & Finance matters. Under the supervision of the Corporate & HR Support Legal Manager, the Legal Counsel will implement (drafting, coordination, implementation, potential negotiation) a series of legal documents and advise Belgian and international Gaming1 Group companies in a proactive and strategic way.
Responsibilities
* Participate, as legal support, in corporate projects (e.g., corporate reorganizations, mergers and demergers, coordination of annual approval of financial statements, project of setting up a newco, etc.).
* Coordinate and implement “corporate” notarial deeds (incorporation, contributions, increase of capital, modifications of Articles of association, etc.) in collaboration with the notary’s office.
* Coordinate and draft general shareholders' resolutions and ordinary resolutions approving the annual accounts and corporate decisions; manage corporate housekeeping for the companies.
* Provide legal support to the finance team through drafting loan agreements, waivers, and other corporate finance documents.
* Monitor and renew corporate mandates and organize corporate information across all companies with the Corporate Paralegal.
* Perform legal research on contractual and corporate topics.
* Draft legal advices with a contractual, corporate and finance orientation.
* Provide legal support for international corporate governance, coordinating with foreign subsidiaries and external counsel, ensuring compliance with local regulations and contributing to cross-border transactions and group-level structuring.
Your profile
* Master’s degree in law.
* Experience in a legal department, a law firm, or a Big Four is a plus.
* French & English (both written & spoken); Dutch is a plus.
* Strong attention to detail and high level of accuracy.
* Excellent interpersonal and communication skills.
* Strong adaptability and ability to implement procedures and guidelines.
* Solid writing and organizational skills.
* Autonomous and solution-oriented.
