The corporate counsel will report to the Head of Corporate Governance Deputy Corporate Secretary. /ph3Roles and Responsibilities /h3ulliOversee and manage the company’s and key stakeholders’ Dutch, Belgian and U.S. securities law obligations, including compliance with reporting requirements. /liliFurther develop policies and advise on compliance with the EU Market Abuse Regulation. /liliAdvise on employee equity incentive plans. /liliProvide support in corporate governance related matters, including developing, monitoring and implementing best‑in‑class and clear legal policies and practices. /liliCoordinate global group structuring, corporate housekeeping, and corporate compliance for local entities with external advisors. /liliAssist with preparation of the company’s annual reporting materials, including for the annual report and general meetings. /liliCoordinate compliance with CSRD and other reporting requirements and support execution of the long‑term ESG strategy. /liliStay current with legal and regulatory developments and best practices in the relevant areas of law. /li /ulh3Skills, Experience and Competencies /h3ulliLaw degree and license to practice law in the Netherlands (preferred) or Belgium. /liliFluent in Dutch and English. /liliExpertise in Dutch or Belgian and EU laws and regulations applicable to listed companies and their reporting, including DCGC, MAR, Euronext listing regulations. /liliFamiliarity with U.S. laws and regulations applicable to FPIs and other ongoing listing and reporting requirements, or ability to coordinate with U.S. local counsel. /liliAffinity or interest in the evolving ESG regulation landscape applicable to dual‑listed EU/US entities, including CSRD, CSDDD and EU Omnibus Regulation. /liliContinued subject‑matter expertise training through a post‑master’s specialization in a relevant area such as corporate law, law finance or public MA. /liliAbility to work in a fast‑paced environment, handle multiple priorities independently while managing a substantial workload and building relationships across the organization. /liliStrategic and pragmatic mindset, able to look ahead, anticipate issues, simplify processes, evaluate legal risks against business context, and communicate clearly to diverse audiences. /li /ulpAt argenx, all applicants are welcomed in an inclusive environment.
