Description
* Serve as a reliable consultant for clients engaged in mergers and acquisitions, offering specialized legal advice and assistance.
* Oversee and manage all legal facets of M&A transactions from the beginning stages through to finalization.
* Prepare and evaluate a variety of legal documents, such as non-disclosure agreements (NDA), letters of intent (LOI), share purchase agreements (SPA), and asset purchase agreements.
* Facilitate negotiations among the parties involved in the transaction, advocating for both the buyer and the seller.
* Ensure adherence to all legal and regulatory obligations during the M&A process.
* Collaborate closely with both internal and external parties, including different teams within the organization, outside legal advisers, and financial consultants.
* Perform due diligence activities, which include reviewing legal documents, financial reports, and contracts.
* Identify potential risks and offer insights on strategies for risk mitigation.
* Stay informed about industry developments, legislative changes, and best practices in M&A law.
* Provide guidance and support to junior members of the legal team as needed.
Minimum Requirements
* Holds a Master’s degree in Law, with a comprehensive understanding of Belgian legal frameworks.
* Possesses fluency in both Dutch and English, while knowledge of French is advantageous.
* Has demonstrated expertise as a Legal Manager or in a comparable position, particularly within the realm of mergers and acquisitions.
* Exhibits a profound understanding of legal standards and regulations pertaining to mergers, acquisitions, and corporate restructuring.
* Displays exceptional abilities in drafting and negotiating, enabling the effective creation of legal documents and successful negotiations.
* Strongly understands business principles, facilitating the provision of legally sound and commercially-oriented advice.
* Demonstrates outstanding communication and interpersonal skills, capable of fostering strong connections with clients, stakeholders, and team members.
* Is meticulous and possesses a keen analytical capability to identify and evaluate potential legal exposures.
* Holds professional accreditation or is a member of relevant legal associations, which is considered a beneficial asset.
