Argenx is seeking an experienced corporate lawyer who will function as a strategic advisor, providing advice to the Company on a range of corporate and governance matters, securities laws, compliance with the EU Market Abuse Regulation, equity plans, and ESG matters. This role will report to the Head of Corporate Governance & Deputy Corporate Secretary. The primary focus of this role will be to provide key corporate governance, securities laws, and corporate housekeeping support and to execute the long‑term ESG strategy. Joining argenx will present a broad range of growth opportunities, including leading strategic projects as we continue to grow as a Company, while handling complex cross‑jurisdictional challenges. The Corporate Counsel is part of the Corporate Legal Team and will collaborate closely with other members of the Legal, Compliance & IP Team and other internal stakeholders such as Finance, HR, and IR.
ROLESANDRESPONSIBILITIES
Your primary areas of focus are:
1. In collaboration withtheHead of Corporate Governance and Deputy Corporate Secretary:
2. Oversee and manage the Company’sand key stakeholders’Dutch, Belgian and U.S.securities law obligations, includingcompliance withreporting requirements
3. Further develop policies and advise on compliance with the EU Market Abuse Regulation
4. Advise onemployee equityincentiveplan
5. Provide support in corporate governance related matters, including developing,monitoringandimplementingbest-in-class and clear legalpolicies andpractices
6. In collaboration with external advisors, coordinate global group structuring, corporate housekeeping, and corporate compliance for local entities
7. Assistwithpreparation of the Company’sannualreporting materials,includingfortheannualreportand general meetings
8. In collaboration with external advisors, coordinatecompliance with CSRD and reporting requirements andsupportexecution of thelong-term ESG strategy
9. Stay current with legal/regulatory developmentsandbest practices in the relevant areas of law
SKILLS, EXPERIENCEANDCOMPETENCIES
10. Lawdegree and license to practice law inthe Netherlands (preferred) or Belgium
11. Fluent in Dutch & English
12. Expert in Dutchor Belgian& EU laws and regulations applicable to listed companies and their reporting (including DCGC, MAR,Euronext listing regulations)
13. Familiarity with US laws & regulations applicable to FPIs and other ongoing listing & reporting requirementsis a plus orability to spot issues and coordinatewithUS local counsel on these topics
14. Affinity with or interest inthe evolving ESG regulation landscape applicable to dual listed EU/USentities (including for example the CSRD, CSDDDand EU Omnibus Regulation)
15. Continued subject matterexpertisetraining (through a post-master’sspecialization (such as Grotius/VU Law academy or comparable) in a relevant area (such as corporate law, law & finance, public M&A) is desirable
16. Ability to work in a fast-paced environment, handle multiple, conflicting prioritiesindependentlywhile managing asubstantialworkloadandenjoyingbuilding relationships and partnering across the organizationto get the job done
17. Strategicand pragmaticmindset, able to look ahead andanticipateissues, spot opportunities for simplification and improvement, able to evaluate legal risks against the wider business contextand communicate ina simple wayto diverse audiences
